Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of perly.ai, operated by Genesis Software Group (CVR: 45033139), Copenhagen, Denmark ("we", "us", "our"). By accessing or using perly.ai, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Service Description

perly.ai is a customer intelligence platform that detects churn signals from product usage, billing, CRM, and support data, and triggers automated actions to help SaaS teams retain customers. The service includes a web dashboard, API, first-party SDK, and third-party integrations.

3. Eligibility

perly.ai is a B2B service. You must be at least 18 years old and authorized to bind the organization you represent. By using the service, you confirm you meet these requirements.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate and complete information during registration and to notify us immediately of any unauthorized access.

5. Subscriptions and Billing

  • Subscriptions are billed monthly. Prices are listed in EUR and exclude applicable taxes.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
  • We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.
  • No annual contracts are required unless explicitly agreed upon.

6. Your Data

You retain ownership of all data you provide to or process through perly.ai ("Customer Data"). You grant us a limited license to use Customer Data solely to provide and improve the service.

  • We act as a data processor for Customer Data under GDPR. A Data Processing Agreement (DPA) is available upon request.
  • You are responsible for ensuring you have the legal right to share Customer Data with us, including any necessary consent from your end users.
  • Upon account closure, Customer Data is deleted within 90 days. You may request an export before deletion.

7. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to reverse-engineer, decompile, or disassemble the service
  • Interfere with the security or integrity of the platform
  • Share access credentials with unauthorized third parties
  • Use the service to store or transmit malicious code
  • Exceed rate limits or abuse the API in a way that degrades service for others

We reserve the right to suspend or terminate accounts that violate these terms.

8. Integrations and Third-Party Services

perly.ai connects to third-party services (Stripe, HubSpot, Slack, etc.) via OAuth. Your use of those services is governed by their respective terms. We are not responsible for the availability, accuracy, or policies of third-party services.

9. First-Party SDK

The perly.ai SDK is provided under a standard MIT-style license. You are responsible for its deployment in your application and for ensuring it complies with your own privacy obligations to your end users.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We are not liable for downtime caused by scheduled maintenance (with reasonable notice), force majeure events, or third-party service outages.

11. Intellectual Property

All rights in the perly.ai platform, including software, design, documentation, and branding, are owned by Genesis Software Group. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the service as intended.

12. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from these Terms or your use of the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue or data.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

Either party may terminate this agreement at any time. You may cancel your account through the platform or by contacting us. We may terminate or suspend your access for violation of these Terms with reasonable notice, except in cases of serious violation where immediate action is warranted.

15. Governing Law and Disputes

These Terms are governed by the laws of Denmark. Any disputes shall be resolved in the courts of Copenhagen, Denmark. For EU consumers, mandatory consumer protection laws of your country of residence apply where they provide greater protection.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance. The "Last updated" date at the top reflects the most recent revision.
