Terms of service

The service

perly is a hosted workspace, operated by Genesis Software Group (“we”, “us”). It brings a company’s mail, calendar, documents and Slack into one graph of people, projects and commitments, and runs agents on that graph on the company’s behalf. These terms govern every use of it. Using perly means agreeing to them.

Accounts and workspaces

A workspace belongs to one customer, the company that ordered it. The customer decides who is a member of its workspace and what each member may do there. A person signs in with an account that identifies them by name and email address, and is responsible for keeping that account to themselves.

The customer is responsible for what its members do in the workspace, and for having the right to connect the sources it connects.

Acceptable use

Do not use perly to:

• break the law, or infringe anyone’s rights;
• connect a source or an account you are not entitled to connect;
• probe, overload or interfere with the service or another customer’s workspace;
• send spam, or anything abusive, from or through it.

We may suspend access that breaks these rules, and will say why.

Customer data

Everything a workspace holds (messages, events, documents, the graph built from them, and what agents produce) is the customer’s data. The customer owns it. We process it only to provide the service to that customer, as described in the privacy policy, and we do not use it for any other purpose.

Each customer’s workspace runs in its own deployment with its own database. Data from one workspace is never visible in another.

Connected sources

A source, such as a Google account or a Slack workspace, is connected by the person who holds it, for that person, and only with the access they grant. That access is read-only unless a feature states otherwise when it is enabled. A person can revoke it at any time, from the provider or by disconnecting the source in perly, and further reading stops.

Connecting a source means also accepting that provider’s own terms for the access being granted.

Availability

We aim to keep perly available and will give notice of planned maintenance where we can. The service is provided as it is; we do not promise that it will be uninterrupted or free of errors, and we may change or withdraw features with reasonable notice.

Fees

Fees are as agreed in the customer’s order. Unless the order says otherwise, they are invoiced in advance and due within 30 days.

Termination

A customer may end its workspace at any time, and we may end the agreement on reasonable notice or immediately if these terms are seriously breached. When a workspace ends, its data is deleted within 7 days, as the privacy policy describes, after a period in which the customer may export it.

Liability

To the extent the law allows, we are not liable for indirect or consequential loss, loss of profit, or loss of data that the customer could have backed up, and our total liability under these terms in any twelve-month period is limited to the fees paid for the service in that period. Nothing here limits liability that cannot be limited by law.

Changes

We may change these terms. A change that materially affects the customer will be announced at least 30 days before it takes effect, and continuing to use perly after that date means accepting it.

Governing law

These terms are governed by Danish law, and the courts of Denmark have exclusive jurisdiction over any dispute about them.
